Soroc hereby grants you a personal, non-transferable, non-exclusive, and royalty-free
license to use any application, tool, or any other application software available
through the Site ("Soroc Tools") in accordance with the Terms and Conditions
herein. This license does not convey any right or license under any patent, trade-mark,
copyright, or other proprietary right of Soroc or any other person.
Any unauthorized downloading, re-transmission, or other copying or modification
of Trade-marks or other contents of this Site may be a violation of intellectual

or ethnically derogatory, inflammatory, fraudulent or otherwise objectionable, including,
but not limited to, any material that encourages conduct that would constitute a

any municipal, provincial, federal, or international law;
- User Content that would constitute, encourage, or provide instructions for a criminal

Canada. Soroc makes no representation that materials in the Site are appropriate
or available for use in other locations. Those who choose to access this Site from
other locations do so on their own initiative and are responsible for compliance
with local laws, if, and to the extent local laws, are applicable.
Compliance with Laws
You represent, warrant and covenant that in accessing and using the Site you shall

You hereby waive, and covenant not to assert, any rights, claims, causes of actions,
or remedies of any nature whatsoever against Soroc or its affiliates, or their respective
directors, officers, employees, or agents arising out of, or in any way relating
to your access to or use of the Site, the services available through the Site, or
the content or material contained in or accessible through the Site, including,
without limitation, any claims or allegations relating to the alleged infringement
of proprietary rights, alleged inaccuracy of User Content, any third party intellectual

Applicable Law

governed and construed in accordance with the provincial law of Ontario, including
the federal laws of Canada applicable in Ontario. You hereby submit to the non-exclusive
jurisdiction of the courts of the Province of Ontario over any suit, action, or

Severability
If any provision of the Terms and Conditions shall be deemed unlawful, void, or
for any reason unenforceable, then that provision shall be deemed severable from
the Terms and Conditions and shall not affect the validity and enforceability of

be effective if in writing and signed by Soroc. Soroc's failure to insist upon or
enforce strict performance of any provision of these Terms and Conditions shall
not be construed as a waiver of any provision or right.
